Terms of Service

1.Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you and StreamerCatalyst LLC ("StreamerCatalyst", "we", "us", or "our") governing your access to and use of the StreamerCatalyst website, dashboard, APIs, widgets, and related features (collectively, the "Service"). By connecting your Twitch account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2.The Service

StreamerCatalyst is a toolkit for Twitch streamers that includes AI chat personas, channel-event and rewards tracking, moderation automation, a stream planner, analytics, chat tools, stream overlays, and tipping — a public tip page through which a streamer can receive voluntary payments from their community, paid out through Stripe. We may add, change, or remove features at any time. Some features are offered free and others require a paid subscription.

3.Who these Terms apply to

These Terms apply to everyone who uses the Service, in whichever capacity applies to you:

• Streamers who connect a Twitch account and configure the Service for their channel.
• Moderators and team members a streamer invites to their dashboard.
• Tippers who send money through a streamer's tip page. You do not need an account to tip, and by tipping you accept these Terms and our Privacy Policy for that transaction. The sections that concern you are Tips and donations and Sending tips.

4.Eligibility

To use the Service you must:

• Have a valid Twitch account and comply with the Twitch Terms of Service and applicable Twitch developer and community policies;
• Meet Twitch's minimum age requirement (at least 13 years old, with parental consent where required); and
• Be at least the age of majority in your jurisdiction, or have permission from a parent or legal guardian, to enter into a paid subscription.

Tipping has its own requirements: to receive tips you must be at least 18, be located in a country Stripe Connect supports for this product, and complete Stripe's identity verification. To send a tip you must be old enough to lawfully use the payment method and be its authorized user. A tipper does not need a Twitch account or a StreamerCatalyst account.

5.Your account and Twitch authorization

You sign in with Twitch and authorize the permissions described in our Privacy Policy. You authorize us to access and act on your Twitch channel through the Twitch API consistent with those permissions and with the features you enable — for example reading chat and events and, where you enable it, sending chat messages and managing Channel Points rewards on your behalf.

You are responsible for activity that occurs under your account and for the actions of moderators or team members you invite and the access you grant them. You can revoke our access at any time via your Twitch connection settings.

6.Acceptable use

You agree not to:

• Use the Service in violation of any law, the Twitch Terms of Service, or any third-party rights;
• Use the Service to harass, defame, threaten, deceive, or harm others, or to generate or distribute content that does so;
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems, or interfere with or disrupt the Service;
• Probe, scan, overload, or circumvent rate limits, quotas, security, or access controls;
• Reverse engineer, copy, resell, or create derivative services from the Service except as permitted by law; or
• Use the Service to spam, send unsolicited messages, or artificially inflate metrics.

The tipping features carry additional prohibitions. You agree not to:

• Send a tip with a payment method you are not authorized to use, or use a tip page to test stolen or generated card numbers;
• Use tipping to launder money, move funds for a third party, evade sanctions, or disguise the source of funds;
• Tip your own channel, or arrange tips, to inflate metrics, unlock rewards, manufacture goal progress, or extract funds through the platform;
• Solicit or accept tips by deception, or in exchange for goods, services, access, entries, gambling, adult content, or anything else Twitch, Stripe, or applicable law prohibits — a tip is a gift, not a sale (see Tips and donations);
• Use a tip message to harass, threaten, defame, dox, advertise, or post content that violates these Terms or Twitch's policies; or
• Circumvent or attempt to defeat the bot check, rate limits, or amount limits on a tip page.

7.Your content and responsibilities

You retain ownership of the content and configurations you create with the Service (such as commands, lore, planner boards, and custom widget code). You grant us a non-exclusive, worldwide license to host, process, and display that content solely to operate and improve the Service for you.

You are solely responsible for what the Service does in your channel under your direction — including messages sent by bots or AI you enable, rewards you configure, and moderation actions you automate — and for ensuring your use complies with Twitch's policies and applicable law.

8.AI features

Some features generate content using AI. AI output may be inaccurate, incomplete, offensive, or otherwise inappropriate, and is generated automatically without human review. You are responsible for reviewing and supervising AI features you enable and for any content posted in your channel as a result. We may impose and adjust usage limits or quotas on AI features, including by tier, and may throttle or suspend usage to protect the Service.

9.Tips and donations

The Tipping module lets a streamer publish a public tip page and receive voluntary payments from their community. Payments are processed by Stripe, and streamer payouts run through Stripe Connect. This section applies to everyone; the two that follow set out what each side agrees to.

• A tip is a gratuity, not a purchase. A tip is a voluntary gift to the streamer. It buys no goods, services, access, entry, membership, or other benefit, and it obliges the streamer to do nothing in return. Nothing on a tip page is an offer of sale, and a tip page must not be used to sell anything.
• It is not a charitable donation. Tips are personal payments to the streamer, not tax-deductible charitable contributions. StreamerCatalyst is not a charitable fundraising platform or a registered fundraiser. If you raise money for a cause other than yourself, complying with the fundraising and charity laws that apply is entirely your responsibility.
• We are not a party to the tip. The payment is between the tipper and the streamer; we provide the technology and, together with Stripe, the payments plumbing. We are not a bank, money transmitter, escrow agent, trustee, or fiduciary. We do not hold funds on your behalf beyond what passes through Stripe in the ordinary course of settlement, and tipped amounts earn no interest for anyone.
• Tips are final. Except where the law requires otherwise, or where we choose to make an exception, a tip is non-refundable once paid. Refunds, when they happen, are handled as described below.
• Fees. StreamerCatalyst currently takes no platform fee on tips. Card processing costs do apply — presently 2.9% + $0.30 per tip on USD, or the local equivalent — and the streamer chooses in Settings whether the tipper covers them on top of the tip or they come out of the tip. The exact amount a tipper will be charged is shown before checkout. Processing rates are set by Stripe and can change, and we may introduce or change a platform fee in future with reasonable advance notice.
• Availability. Tipping depends on Stripe and on Twitch, and we may change, limit, suspend, or discontinue it — for a channel or generally — as described elsewhere in these Terms.

10.Receiving tips (streamers)

To receive tips you must complete Stripe Connect (Express) onboarding for your channel.

• You contract with Stripe directly. By onboarding you enter into the Stripe Connected Account Agreement (which includes the Stripe Services Agreement) with Stripe, in addition to these Terms. You must give Stripe accurate, complete information, keep it up to date, and satisfy its identity-verification (KYC) requirements. Stripe collects your identity and bank details directly — we never receive or store them.
• Eligibility and approval. You must be at least 18, be in a supported country, and not operate a business Stripe restricts. Being able to start onboarding is not a guarantee of approval: Stripe may require further verification, or restrict, pause, or close a connected account under its own agreement. If it does, we cannot pay you out and cannot override that decision.
• Payouts. Stripe pays out to the bank account you connect, on Stripe's standard schedule for your country. We do not control payout timing and cannot release funds Stripe is holding or reviewing.
• Refunds, chargebacks, and reversals. Where a tip is refunded — at your request, at ours, or because the payer's bank raises a chargeback — the amount is reversed out of your connected account, together with any dispute or reversal fees the card networks or Stripe charge. If your balance does not cover a reversal, the resulting negative balance is your responsibility and we may recover it out of future tips. Reversals correct your totals, goals, and analytics; they do not retract chat messages or overlay alerts that have already been shown.
• Refunds run through us. Refunds are initiated by StreamerCatalyst support rather than by you directly, so that the ledger, goals, and payouts stay consistent. You agree not to attempt to settle a tip dispute outside the platform and to cooperate promptly with any evidence we or Stripe need to respond to a dispute.
• Taxes are yours. Tips you receive are your income. You alone are responsible for determining and paying any tax on them and for any reporting or registration your jurisdiction requires. Stripe may issue tax forms based on your payout activity. We do not give tax advice and we do not withhold tax on your behalf.
• Your tip page is your responsibility. You are responsible for what your tip page says, the goals and amounts you set, the manual tips and goal adjustments you record, how your moderators use these features, and any promise you make in connection with tips — including one that would turn a tip into a sale, which is not permitted.
• We may pause tipping. We may suspend a channel's tip page, decline or hold a payment, reverse funds, or disconnect a connected account where we reasonably suspect fraud, card testing, money laundering, an unusual rate of disputes, or a violation of these Terms or of Stripe's or Twitch's rules.
• Turning it off. Disabling your tip page or disconnecting your account stops new tips. Payments already in flight still settle, and refunds or chargebacks on past tips can still occur afterwards — including after you stop using the Service. Tip records are retained as described in our Privacy Policy.

11.Sending tips (tippers)

You do not need an account to tip. By sending a tip you agree to these Terms for that transaction.

• Payment. You must be old enough to lawfully use the payment method and be its authorized user. Card details are entered on Stripe's hosted checkout page, not on ours. Your statement will show a StreamerCatalyst descriptor rather than the streamer's name.
• Your tip is a gift and is final. You are not buying anything, nothing is owed to you in return, and what a streamer does or does not do after receiving your tip is between you and them. Tips are non-refundable except where the law requires otherwise or we choose to make an exception.
• If something is wrong with a charge — you did not authorize it, or the amount is not what you expected — please contact us at support@streamercatalyst.com before raising a chargeback, and we will investigate. This does not affect any right you have to dispute a charge with your bank.
• Your name and message may be public. If you tip under your Twitch name, that name, the amount, and your message may be shown to the streamer and posted in their chat and on their on-stream overlays. If you tip anonymously, no identity is attached to the tip. Either way, treat your message as public and do not put anything private in it.
• Messages are moderated by the streamer. Tip messages are subject to the acceptable use rules above. A streamer can hold a message for approval, reject it, strip links, or filter profanity. A message that is held or rejected does not change the tip: it still counts and it is not refunded on that basis.

12.Subscriptions, billing, and cancellation

This section covers subscriptions to StreamerCatalyst. Tips are a different thing entirely and are covered in Tips and donations.

Paid tiers are billed through Stripe. By subscribing you authorize us and Stripe to charge your payment method on a recurring basis according to the plan and term you select.

• Plans and terms. We offer a free tier and paid tiers, available on monthly, annual, and biennial billing terms. Current features and prices are shown on the pricing page.
• Auto-renewal. Paid subscriptions renew automatically at the end of each term at the then-current price until cancelled.
• Cancellation. You may cancel at any time through your billing settings. Cancellation takes effect at the end of the current billing period; you keep paid access until then and are not charged for the next period.
• Price changes. We may change prices or plan features. Changes apply to your next renewal, and we will provide reasonable advance notice where required.
• Taxes. Prices may exclude applicable taxes, which you are responsible for.
• Failed payments. If a payment fails, we may retry, suspend paid features, or downgrade your account to the free tier.
• Refunds. Except where required by law, subscription payments are non-refundable and there are no refunds or credits for partial periods. Tips follow the separate rules in Tips and donations.

13.Free tier, limits, and fair use

The free tier and each paid tier include limits (for example on commands, boards, widgets, analytics retention, AI tokens, and storage). We may enforce these limits and apply reasonable fair-use protections to keep the Service available for everyone. Limits may change over time.

14.Third-party services

The Service depends on third parties including Twitch, Stripe, and Cloudflare. Your use of those services is also governed by their respective terms and policies, and we are not responsible for them. StreamerCatalyst is an independent product and is not affiliated with, sponsored, or endorsed by Twitch Interactive, Inc.

Two of those relationships are direct rather than behind the scenes. If you receive tips, the Stripe Connected Account Agreement is an agreement between you and Stripe, and Stripe's decisions about your connected account are Stripe's to make. And because tipping happens alongside your Twitch channel, how you promote and run third-party tipping in that channel must comply with Twitch's own terms and monetization policies — that is your responsibility, not ours.

15.Intellectual property

The Service, including its software, design, and trademarks (other than your content and third-party marks), is owned by StreamerCatalyst and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

16.Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE. YOU USE THE SERVICE AT YOUR OWN RISK.

17.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STREAMERCATALYST AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

For clarity, and without limiting the above: we are not responsible for failed, declined, delayed, held, or blocked payments and payouts, for refunds, chargebacks, reversals, negative balances, or dispute fees, for decisions Stripe makes about a connected account, or for any tax consequence of tips sent or received. Amounts that pass between a tipper and a streamer are not amounts you have paid us for the Service and do not raise the cap above. Nothing in these Terms limits liability that cannot be limited by law.

18.Indemnification

You agree to indemnify and hold harmless StreamerCatalyst and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party rights, including the Twitch Terms of Service.

19.Termination

You may stop using the Service and disconnect your Twitch account at any time. We may suspend or terminate your access if you violate these Terms, if required to protect the Service or other users, or if we discontinue the Service. On termination, your right to use the Service ends and we may delete your data as described in our Privacy Policy. Sections that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will survive.

Ending your use of the Service does not end obligations already attached to tips you received: payments in flight still settle, refunds and chargebacks can still arrive afterwards, and any resulting reversal or negative balance remains yours. Your Stripe connected account and the Stripe agreements governing it are separate from these Terms and are closed with Stripe, not with us.

20.Governing law and disputes

These Terms are governed by the laws of the State of Georgia and the federal laws of the United States applicable therein, without regard to conflict-of-law rules. You agree that the state and federal courts located in Georgia will have exclusive jurisdiction over any dispute that is not otherwise subject to an agreed alternative resolution, and you consent to personal jurisdiction in those courts. Nothing here limits any rights you may have under mandatory consumer-protection laws of your place of residence.

21.Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
